2012年亚足联冠军联赛淘汰赛一共有16支球队参加（其中8支来自西亚区和8支来自东亚区）。它们包括小组赛阶段8个小组的前两名。淘汰赛使用单败淘汰制，每轮进行一场或两场比赛。其中十六强阶段只进行一场比赛，在各组第一名的主场进行。四分之一决赛和半决赛进行主客场两回合比赛。最后的决赛由抽签决定在其中一支参赛队的主场进行。
淘汰赛阶段在有必要的时候可以使用客场进球优惠制、加时赛（加时赛的进球不计入客场进球优惠制）和点球大战来决定最后晋级的球队。 十六强的对阵根据小组赛的分组确定， 四分之一决赛和半决赛的对阵以及决赛的主场由抽签决定。在四分之一决赛抽签中，将会应用“国家保护”规则，即如果来自同一国家的俱乐部刚好有两支，他们将不会在四分之一决赛中碰面；但如果晋级的同一国家的俱乐部在3支以上，将不会采用回避原则。
