2011–12年歐洲冠軍聯賽分組賽有 32 支隊伍參賽，當中包括 22 支直接晉級小組賽之隊伍，再加上 10 隊從附加賽（5 隊冠軍組及 5 隊非冠軍組）晉級的球隊。 32 支隊伍將分成八組進行主客制雙循環比賽，小組首、次名將獲得晉級2011–12年歐洲冠軍聯賽淘汰賽，而小組第三名將降級至歐霸盃之淘汰賽。

歐洲足聯積分排名
分組賽抽籤於歐洲中部夏令時間2011年8月25日下午五時四十五分（UTC+2）於摩納哥進行。

隊伍將按照2011 歐洲足聯積分排名區分為四個組別。去屆冠軍巴塞隆拿將自動分配至第一組別。來自相同國家之隊伍將不會於小組賽內碰頭。
